These Terms & Conditions ("Terms") govern your use of the Notifex iPhone app, the web dashboard, the Notifex MCP server and API, and the website at notifexapp.com (together, the "Service"), operated by Notifex ("we", "us", or "our"). By accessing or using the Service, you agree to these Terms. If you do not agree, please do not use the Service.

1. Eligibility

You must be at least 13 years old (or the minimum age of digital consent in your country) to use the Service. By using Notifex, you confirm that you meet this requirement and that any information you provide is accurate.

2. The Service

Notifex is a human-in-the-loop notification bridge for AI agents. Agents you authorize connect over MCP and can send messages or ask questions that are pushed to the members of a project; answers submitted in the app are returned to the agent. Delivery depends on your device, its settings and connectivity, Apple's push infrastructure, and your agent's own network conditions. Notifex is not a real-time, guaranteed-delivery, or life-safety system. You are responsible for the decisions your agents make, including any action an agent takes while waiting for, or in the absence of, a human answer. We are not liable for any missed, delayed, or undelivered notification or answer, or for any resulting loss.

3. Your Account

Some features require an account. You are responsible for keeping your account credentials secure and for all activity that occurs under your account. Notify us promptly of any unauthorized use.

4. Projects, Members, and API Keys

Projects group people and agents. A project owner may invite and remove members and generate or revoke API keys. Each API key is scoped to exactly one project, and anything sent with that key reaches that project's members. You are responsible for keeping your API keys secret and for all notifications sent using them. Revoke a key immediately if you believe it has been exposed. By joining a project, you accept that its members can see the notifications, questions, and answers in it, including your display name on answers you submit.

5. Your Content

"Your Content" means the messages, questions, context, answer options, answers, and profile details you or your agents send through the Service. You retain ownership of Your Content. You grant us a limited, worldwide, non-exclusive license to host, store, process, transmit, and display Your Content solely to operate and provide the Service — including delivering it to the members of the relevant project and returning answers to the requesting agent.

You represent and warrant that you have all rights necessary to send Your Content and that it does not infringe anyone's intellectual property, privacy, or other rights. Do not send secrets, credentials, payment data, or sensitive personal data through agent notifications. You are responsible for the content your agents send under your API keys, whether or not you reviewed it first.

6. Acceptable Use

You agree not to:

  • Send content that is unlawful, infringing, harmful, hateful, harassing, or obscene, or that you lack the right to send;
  • Use the Service to spam, harass, or overwhelm the attention of any person, including members of your own project;
  • Exceed, circumvent, or attempt to circumvent rate limits, plan limits, or usage quotas;
  • Reverse engineer, decompile, or attempt to extract source code from the app or backend, except where permitted by law;
  • Interfere with, disrupt, or place undue load on the Service or its servers, including by holding an excessive number of blocking calls open;
  • Access the Service through unauthorized automated means or attempt to bypass security or authentication;
  • Use the Service to violate any applicable law or the rights of others.

7. Plans, Limits, and Subscriptions

Notifex offers a free tier with usage limits and paid plans ("Premium"). Paid plans are billed in advance through our payment processor or, where applicable, the Apple App Store, and are subject to that provider's terms. Subscriptions renew automatically unless cancelled before the end of the current period. You can manage or cancel subscriptions in your billing settings or your Apple ID settings. Except where required by law, payments are non-refundable. Prices, limits, and Premium features may change; we will provide notice where required.

8. Intellectual Property

The Service, including the Notifex name, logo, software, and design, is owned by us and protected by intellectual-property laws. We grant you a limited, personal, non-transferable, revocable license to use the app and API in accordance with these Terms. All rights not expressly granted are reserved.

9. Third-Party Services

The Service relies on third parties, including Apple (App Store, Sign in with Apple, push notifications), Google (sign-in), our payment processor, and our hosting and infrastructure providers. Your use of those services may be subject to their own terms, and we are not responsible for them. We are likewise not responsible for the AI agents you connect, their behavior, or their output.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT EVERY NOTIFICATION WILL BE DELIVERED, OR THAT EVERY BLOCKING CALL WILL RECEIVE AN ANSWER. NOTIFEX IS NOT A LIFE-SAFETY OR EMERGENCY-ALERTING SYSTEM AND MUST NOT BE RELIED ON WHERE A MISSED OR DELAYED MESSAGE COULD CAUSE HARM.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOTIFEX AND ITS OPERATORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS ARISING FROM A MISSED, DELAYED, OR UNANSWERED NOTIFICATION, AN ACTION TAKEN BY AN AI AGENT, LOSS OF DATA, OR LOSS OF PROFITS, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR USD $50. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless Notifex and its operators from any claims, damages, and expenses arising out of Your Content, the activity of agents connected with your API keys, your use of the Service, or your violation of these Terms or the rights of others.

13. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access, or revoke an API key, if you violate these Terms or if necessary to protect the Service or other users. Provisions that by their nature should survive termination will survive.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice. Continued use of the Service after changes take effect means you accept the revised Terms.

15. Governing Law

These Terms are governed by applicable law without regard to conflict-of-law principles. Any disputes will be resolved in the competent courts of the applicable jurisdiction, except where local consumer law gives you the right to bring proceedings elsewhere.
